TERMS & CONDITIONS | Essential Health RX

These Terms of Service (“Terms”) govern your access to and use of Essential Health RX’s telehealth platform, website, mobile applications, and services (collectively, the “Services”) that connect you with licensed healthcare providers for medical consultations and prescription services. By accessing or using our Services, you agree to these Terms, our Privacy Policy, and Informed Consent (collectively, the “Agreement”).

1. Services Overview

1.1 Platform Function

Essential Health RX operates a technology platform connecting you with licensed physicians and affiliated pharmacies. We are not a healthcare provider or pharmacy and do not provide medical advice, diagnoses, or treatment. You acknowledge that you are not forming a physician-patient relationship with Essential Health RX.

1.2 Medical Services

Licensed physicians provide medical consultations through our platform for specific wellness and health services, including weight management and peptide therapy. All medical content is for informational purposes only and does not constitute professional medical advice.

1.3 Your Responsibilities

You must:

  • Provide accurate and complete health information
  • Use Services only for their intended purposes
  • Understand these Services do not replace emergency care or your primary care physician
  • Contact 911 immediately for medical emergencies

2. Eligibility and Account Requirements

2.1 Eligibility

You must be at least 18 years old and located in a state where we operate. Services are currently available in California. You must be able to form a binding contract and not be prohibited from using the Services under applicable law.

2.2 Account Registration

Registration requires providing accurate information, including completing a medical questionnaire. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized access.

3. Medical Consultations and Prescriptions

3.1 Consultation Process

After registration, a licensed physician will review your information and determine medical appropriateness. Physicians may prescribe medications if clinically indicated. Prescriptions are not guaranteed. Physicians will not prescribe DEA-controlled substances.

3.2 Pharmacy Services

Prescriptions may be filled through our affiliated pharmacies with shipping included, or sent to your preferred pharmacy, where you are responsible for pickup and payment. Pharmaceutical products cannot be returned.

4. Payment and Subscription

4.1 Fees

Subscription fees cover physician consultations, prescriptions filled by affiliated pharmacies, shipping, platform fees, and applicable taxes. Fees may change if your prescription changes. Some products are available for a one-time purchase without a subscription.

4.2 Insurance and Reimbursement

Our Services are not covered by insurance, Medicare, or Medicaid. You are solely responsible for all costs. We do not submit claims to third parties, and you agree not to submit claims for reimbursement.

4.3 Cancellation

Cancel anytime through your account. Cancellation requests must be received two (2) full calendar days before your next shipment. Cancellations before prescription submission to the pharmacy receive a full refund within 5-10 business days.

5. Privacy and Data Security

Your information is governed by our Privacy Policy. By using the Services, you consent to the collection, use, and transfer of your information as described in our Privacy Policy. We may send you service-related communications that you cannot opt out of as they are essential to the Services.

6. Prohibited Conduct

You may not:

  • Provide false or misleading health information
  • Share account credentials with others
  • Access or attempt to access non-public areas of the platform
  • Use automated means to access the Services without authorization
  • Transmit harmful, offensive, or illegal content
  • Interfere with or disrupt the Services

7. Intellectual Property

Essential Health RX owns all rights to the platform, website, and Services, including all intellectual property rights. You receive a limited, non-exclusive license to use the Services. Content you upload belongs to you, and you grant us permission to use it to provide the Services.

8. Termination

Either party may terminate this Agreement at any time. You may deactivate your account through our contact page. We may suspend or terminate your access if you violate these Terms, create legal risk, or if our services become commercially unviable. Medical records will be retained for five (5) years as required by law.

9. Disclaimers and Limitations of Liability

9.1 Services Provided “As-Is”

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. Essential Health RX disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that Services will be uninterrupted, secure, or error-free.

9.2 No Liability for Medical Outcomes

Essential Health RX is not liable for any medical advice, treatment, or services provided by physicians or pharmacies. You expressly release Essential Health RX from all liability for any damages arising from physician or pharmacy services.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESSENTIAL HEALTH RX’S LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS. We are not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify and hold harmless Essential Health RX from all claims, damages, and expenses (including attorney fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) information you transmit through the Services, or (d) your violation of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of California without regard to conflict of law provisions. All disputes will be resolved in the courts of Orange County, California, and you consent to jurisdiction in those courts. You may only bring claims individually, not as part of a class action.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Informed Consent, constitute the entire agreement between you and Essential Health RX. We may revise these Terms at any time. Continued use after changes constitutes acceptance.

12.2 Severability

If any provision is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force.

12.3 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

12.4 Service Changes

We reserve the right to modify or discontinue Services at any time without prior notice. We may also create usage limits at our discretion.

13. Patient Code of Conduct

As a patient, you agree to:

  • Provide honest and accurate health and medical history
  • Respond promptly to physician requests for information
  • Treat healthcare professionals and staff with respect
  • Follow medical advice and treatment plans
  • Report adverse effects immediately
  • Safeguard account credentials
  • Pay for goods and services provided

We reserve the right to refuse service to anyone who violates this code of conduct or engages in inappropriate or harmful behavior.
